1. Acceptance of Terms

By accessing or using the RawSignal service ("Service"), operated by Takuya Noguchi ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Service.

2. Service Description

RawSignal is a SaaS platform that analyzes customer product reviews to extract actionable product intelligence and high-converting language patterns for direct-to-consumer (D2C) brands. The Service is provided on a subscription basis.

3. Account Registration

To use the Service, you must create an account with accurate, current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

4. Subscription & Payments

The Service is offered under the following plans:

• Starter: $49/month (tax included)
• Pro: $99/month (tax included)

Payment is charged at the start of each billing cycle via credit card. All prices are in USD and include applicable taxes. No additional fees or charges apply.

5. Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your access continues until the end of the current billing period
• No prorated refunds are provided for unused portions of the billing period
• No refunds are issued for any completed billing periods

Due to the digital nature of the Service, all sales are final. We do not offer refunds once payment has been processed.

6. Acceptable Use

You agree not to:

• Resell, sublicense, or redistribute the Service or any output generated by the Service to third parties
• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Circumvent any access controls or usage limits of the Service
• Use automated means (bots, scrapers) to access the Service beyond its intended API
• Transmit malicious code, viruses, or harmful data through the Service
• Impersonate any person or entity or misrepresent your affiliation

Resale is strictly prohibited. Accounts found to be reselling access or outputs may be terminated immediately without refund.

7. Intellectual Property

The Service, including its software, design, algorithms, and documentation, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain ownership of the review data you submit. We retain ownership of the analytical methods, algorithms, and the Service itself. Output generated for your account (reports, analysis) is licensed to you for your business use.

8. Data & Privacy

Your data is stored on servers located in the United States (Polsia infrastructure). Our collection and use of personal information is described in our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any downtime or service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that outputs will achieve specific business results.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, particularly the acceptable use or resale prohibitions. We will make reasonable efforts to notify you before termination, except in cases of severe violations.

Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, and governing law survive termination.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
